Civil Practice and Remedies Code section 16.004(a) requires suit not later than four years after accrual on specific performance of a contract to convey real property, a penalty or damages on the penal clause of a bond to convey real property, debt, fraud, or breach of fiduciary duty. Subsection (c) uses the same four years for a partnership-account settlement and for an open, stated, or mutual merchant account, and it accrues those account claims on the day the dealings cease. Section 41.008 limits exemplary damages to the greater of two times economic damages plus noneconomic damages not exceeding $750,000, or $200,000. The cap does not apply to exemplary damages based on listed Penal Code felonies. An unpaid technology invoice pleaded as debt, or a claim that the vendor’s statements were fraud, uses the four-year period. A punitive count uses the exemplary-damages formula unless a listed felony takes it outside the section. 1,2

  • Unpaid fees are a debt action, not every theory of a failed project

    Section 16.004(a)(3) and (a)(4) put debt and fraud on a four-year clock from the day the cause of action accrues. The section does not say every breach of a services contract is a debt. A claim for money the customer agreed to pay is the debt row. A claim that the vendor misrepresented what the system would do is the fraud row. A claim for specific performance of a real-estate conveyance is a different row in the same subsection. Match the pleading to the row before you calendar four years. 1

  • Merchant and partnership accounts accrue when the dealings stop

    Subsection (c) requires suit within four years after accrual for a settlement of partnership accounts, an open or stated account, or a mutual and current account concerning the trade of merchandise between merchants or their agents or factors. For that subsection, accrual is the day the dealings in which the parties were interested together cease. A technology joint venture that is actually a partnership account uses that cessation date. A single invoice is not automatically this subsection. 1

  • The exemplary-damages ceiling is the greater of two calculations

    Section 41.008(b) caps exemplary damages at the greater of two times economic damages plus noneconomic damages found by the jury, not to exceed $750,000 of those noneconomic damages, or $200,000. Economic damages are found separately from other compensatory damages. Subsection (c) removes the cap when exemplary damages are based on conduct described as a felony in listed Penal Code sections, if, except for sections 49.07 and 49.08, the conduct was committed knowingly or intentionally. The list includes murder, specified assaults, fraud and theft felonies, intoxication assault, and intoxication manslaughter, and it continues.
