Technology E&O Insurance in Rhode Island

Rhode Island General Laws section 6A-2-719 is the sales-article rule on remedy limits. If an exclusive or limited remedy fails of its essential purpose, remedy may be had as title 6A provides. Consequential damages may be limited or excluded unless the limitation or exclusion is unconscionable. Limitation of consequential damages for injury to the person in the case of consumer goods is prima facie unconscionable, and limitation of damages where the loss is commercial is not. Section 9-20-4, as amended in 2019, is the negligence rule: the fact that the plaintiff failed to use due care, and the fact that a danger was open and obvious, do not bar recovery, and damages are diminished. A goods contract and a negligence injury from a technology installation are different pleadings.   • The remedy limit is a sales rule, and commercial loss is treated differently from consumer injury

    Section 6A-2-719(3) allows a consequential-damages limit unless it is unconscionable. Injury to the person from consumer goods makes the limit prima facie unconscionable. A commercial loss does not get that presumption. A hosted software subscription is not, by this section’s title, automatically a sale of goods. Use the section when the deal is a sale of goods, and do not copy a consumer-goods waiver into a business-to-business services contract and assume it is valid. 1

  • Failure of essential purpose brings back the title’s remedies

    Subsection (2) says that where circumstances cause an exclusive or limited remedy to fail of its essential purpose, remedy may be had as provided in title 6A. A repair-or-replace clause that never produces a working copy does not remain the customer’s only remedy. The history note is P.L. 1960, ch. 147. 1

  • Open-and-obvious and the plaintiff’s own lack of care reduce damages instead of ending the case

    Section 9-20-4, enacted in the 2019 public laws chapters 185 and 256, says the plaintiff’s want of due care does not bar recovery, and neither does an open and obvious danger. Damages are diminished in proportion to the amount of negligence attributable to the plaintiff. A customer who clicked through a warning, or who walked into an obvious installation hazard, can still recover a reduced amount. The section does not divide a contract price. 2
