Nebraska Revised Statute 25-205(1) says that, except as subsection (2) provides, an action upon a specialty or any agreement, contract, or promise in writing can only be brought within five years. Subsection (2) is narrower: an action to recover farm-product collateral that a debtor transferred, where the writing used that collateral as security, must be brought within eighteen months from the transfer of possession and ownership. Section 25-21,185.09, from 1992 LB 262, is the injury rule. If the claimant’s contributory negligence is equal to or greater than the total negligence of all persons against whom recovery is sought, the claimant cannot recover. A technology invoice dispute uses the five-year writing period unless it is the farm-collateral action. A negligence claim for injury or property damage uses the equal-fault bar. Calendar five years for an ordinary written technology contract
Subsection (1) covers a specialty and any agreement, contract, or promise in writing, and a foreign judgment. The five years is the outside filing period. It does not say the claim accrues on the signature date. A later breach can start the period later. Report the circumstance to the E&O insurer when it happens, even if a lawsuit would still be timely for years. 1
Farm-product collateral uses eighteen months, not five years
Subsection (2) applies when the action is to recover collateral whose possession and ownership the debtor transferred, and the writing used that collateral as security for payment, covering farm products described in UCC section 9-102 or farm products that become inventory of a person engaged in farming. The eighteen months run from the date possession and ownership were transferred. A software license is not this action. A financing deal that took farm products as security can be. 1
Equal fault is a complete bar, not a reduction
Section 25-21,185.09 denies recovery when the claimant is contributorily negligent in a degree equal to or greater than the combined negligence of the persons against whom recovery is sought. The comparison is with that total, not with one defendant in isolation. A customer who is equally at fault for how a system was used can be out of a negligence case entirely. The statute is not a formula for splitting a contract price. 2
