MCL 600.5807(9) gives six years to sue for damages or money due for breach of contract when the claim is not one of the bond, covenant, or surety actions described in subsections (2) through (8). The six years run after the claim first accrued. MCL 600.2959 is the injury rule, not the contract rule: in a tort or other theory seeking damages for personal injury, property damage, or wrongful death, the court reduces damages by the injured person’s comparative fault, and if that fault is greater than the combined fault of the other persons, economic damages are reduced and noneconomic damages are not awarded. What to Watch for in Michigan
Most technology contract suits use the six-year residual period
Subsection (9) applies to an action to recover damages or money due for breach of contract that is not described in subsections (2) to (8). Those earlier subsections cover personal-representative bonds, public-officer bonds, constable bonds, covenants in deeds, and similar instruments. A master services agreement for implementation work is not one of those instruments. Confirm the claim is outside (2) through (8) before you calendar six years from accrual. The 2018 amendment took effect May 7, 2018. 1
The clock starts when the claim first accrued
Section 5807(1) says the person must commence the action within the applicable period after the claim first accrued to that person or to someone through whom the person claims. A renewal invoice, a later patch, and the original go-live can be three different accrual candidates. The statute does not pick among them in subsection (9). Ask counsel for the accrual date, and report the circumstance under the policy even if the lawsuit deadline is years away. 1
An injury pleading can remove noneconomic damages without ending the economic claim
Section 2959 reduces damages by the injured person’s percentage of fault. Only when that percentage is greater than the aggregate fault of the other persons, whether or not they are parties, does the court withhold noneconomic damages. Economic damages are still reduced by the percentage rather than erased. A technology incident that damages a customer’s equipment can be in this section. A pure unpaid-invoice suit is not. Split the complaint before you decide the E&O tower is aimed at pain-and-suffering dollars. 2
