Lockton vs USI Insurance Services

How two U.S. middle-market brokers compare, including USI’s announced Aon transaction versus Lockton’s private ownership.

Introduction

Lockton presents private ownership as central to how it works with clients. 20 USI describes nationwide middle-market brokerage, a technology practice, and USI ONE service brands. On 31 August 2026 Aon announced a definitive agreement to acquire USI, with closing then still expected later; treat that as pending unless your engagement papers say otherwise. 24 43 32

A 200-person company running a request for proposal between two large brokers for cyber, directors and officers (D&O) liability, casualty and benefits should diligence who the contracting producer will be during and after any Aon close, versus Lockton remaining privately held on its own telling. Service platforms are feature claims, not outcome scores. 25 1

Where Each Provider Shines

Where Lockton Shines

  • Lockton describes itself as a privately held independent broker for risk, employee benefits and retirement, not as the insurer on the policies it places. 1,13,20
  • US pages list brokerage for cyber and privacy, directors and officers, casualty (including general and product liability, auto, cargo, umbrella and workers’ compensation), property, fiduciary liability and employee benefits. 2,3,4,5,6,7,8,9,10

Where USI Insurance Services Shines

  • USI’s Technology practice says it works with software, hardware and related companies from early seed stage through IPO. 24,32,43
  • USI says it is customarily paid insurer commissions and may receive additional contingent compensation, with details available on request. 30

Key Differences Between Lockton and USI

Ownership Trajectory

Ask USI which legal entity and service team will run the account if the Aon deal closes, and whether compensation disclosures change. Lockton’s independence language does not by itself prove better terms. 43 20

How You Engage

Both use inquiry inboxes rather than public bind. USI points technology and property and casualty questions to pcinquiries@usi.com or local offices. Lockton uses Ask an Expert and practice emails. 24 12

Compensation and Named Products

USI says compensation is customarily insurer commission unless negotiated, plus possible extra amounts. Lockton lists commission, client fees and contingents. Request matching exhibits. 13 USI publishes a claims kit and cyber products such as PrivaSafe as described offerings. 41 37 Named product brands are not coverage. 3

What to Confirm in Quotes

  • Producer entity and any Aon-related transition on USI paper. 43
  • Markets approached for technology lines; both firms leave issuers unnamed on public product pages. 13
  • Written compensation on the same lines. 13

Service Comparison

Lockton vs USI: documented services and availability

CriteriaLocktonUSI Insurance Services
Business role

Lockton’s US site describes the firm as an independent insurance brokerage that arranges customized risk, employee benefits and retirement solutions. US Terms of Business treat Lockton Companies, LLC and affiliated Lockton companies as intermediaries that market, place and service insurance, not as the risk-bearing insurer on a placed policy. 1,13,20

Public US terms name Lockton Companies, LLC (and Series, subsidiaries and affiliates) as the brokerage group and Lockton, Inc. as the website operator. Certificates produced by Lockton also use the California DBA Lockton Insurance Brokers, LLC. Confirm the legal name on any broker-of-record or services agreement; these pages do not by themselves establish which entity would be appointed for a California company. 13,14,21

Lockton-produced certificates print California license number 0F15767 for Lockton Companies, LLC DBA Lockton Insurance Brokers, LLC. Current license status, classes and expiration remain independently unverified. Treat California producer authority as unresolved until a regulator record or the proposed engagement papers are checked. 21,22

USI describes itself as a U.S. insurance brokerage and consulting firm that arranges property and casualty, employee benefits, personal risk, program, and retirement solutions. The reviewed official pages do not identify USI as the insurer that issues commercial policies. 24,23,30,43

USI’s commissions page states that, as a licensed insurance producer, it may advise on insurance contracts, sell insurance, and obtain coverages for clients. Privacy and staff materials identify the operating company as USI Insurance Services LLC. Current California producer-license status remains independently unverified. 30,29,44

On 31 August 2026, Aon plc announced a definitive agreement to acquire USI from KKR and other shareholders for a $17.0 billion purchase price, with closing expected in the fourth quarter of 2026 subject to customary conditions including regulatory approvals. Aon stated that Aon and USI will continue to operate independently until the closing date. The reviewed announcement does not establish that the transaction has closed. 43

Application process

Public US application starts as an inquiry: the US contact form (Ask an Expert) and industry pages invite buyers to connect with a team. The privacy notice refers to soliciting an insurance policy quote. The Cyber & Technology page publishes cyber@lockton.com. Reviewed pages do not describe a self-serve bind flow, published quote turnaround, or an unauthenticated online application that issues a policy without a Lockton representative. 12,1,15,3,14

USI does not publish a self-serve commercial quote flow on the reviewed pages. Technology and P&C inquiries are directed to pcinquiries@usi.com or a local office. The contact page includes a website message box that USI warns is not secured in transit and should not be used for sensitive information. Small- and medium-sized management-liability inquiries are also directed to Select.Business@usi.com. No public binding timetable or online eligibility tool was found. 32,31,27,39

Fees and compensation

US Terms of Business say Lockton may be paid insurer commissions (a percentage of premium), negotiated client fees in lieu of or in addition to commissions, additional compensation such as contingent or supplemental commissions, insurer service fees (including for some managing-general-agency or analytics work), compensation involving affiliate Lockton Re, LLC on reinsurance placements, and interest or premium-finance related income. Commissions are described as fully earned at inception unless law or insurer contracts say otherwise. The terms tell clients to ask their Lockton representative for account-specific compensation. No public fee schedule, commission percentages or typical startup pricing appears on the reviewed pages. 13

Unless otherwise negotiated, USI says compensation for placing coverage is customarily a commission calculated as a percentage of premium and paid by the insurer. It may also receive additional monetary and non-monetary compensation from insurers or intermediaries (including affiliates), which can be contingent on volume, profitability, or other factors, and some agreements include growth or distribution incentives. Clients may request the nature and source of expected compensation, including on alternative quotes. Standard commission percentages and fee schedules for startup accounts are not published. 30

Servicing and renewals

Casualty pages say the same dedicated service team stays with the client through the process. Technology pages describe a round-the-clock service model. Terms of Business cover day-to-day servicing, risk control, insurance renewal services, policy administration and the use of intermediaries (including Lockton affiliates) in servicing and placement. Property pages say the team that meets the client also negotiates with markets rather than a remote broking center. A public client-portal feature list was not established beyond a Lockton Portal login link on the US site. 5,2,13,6,1

USI describes USI ONE as a proprietary consultative process that combines Omni analytics, a national network of specialists, and an enterprise planning process. Technology and P&C pages say clients receive tailored recommendations aimed at total cost of risk. Those are company descriptions of advisory method, not independently verified service outcomes. 25,32,31

USI PATH is described as a proprietary risk-control platform that presents industry loss drivers, improvement areas by coverage line, and curated vendor solutions with preferred pricing and ROI projections. The homepage also markets PATH as guiding clients through risk control from identifying sources of loss to targeting solutions. Performance, ROI, and premium-reduction claims on those pages are company-reported. 40,23

Claims assistance

Lockton describes claims advocacy as a service, not as the insurer paying claims. Technology, D&O and fiduciary pages say a Professional & Executive Risk Claims team, including insurance and claims counsel, is integrated with the broking team and that claims advocacy is not treated as a profit center. Loss-prevention pages describe claims consulting: investigations, mapping facts to policies, preparing presentations, and discussions with insurer lawyers and loss adjusters. Workers’ compensation pages mention claims service advocates. Terms of Business include claims handling and claims processing among Lockton’s intermediary services and state Lockton is not responsible for an insurer’s solvency or willingness to pay. These descriptions do not establish claims outcomes or handling quality. 2,4,9,11,7,13

USI’s contact page tells people seeking claims assistance to contact the appropriate USI office. A May 2021 claims kit instructs clients to report property, workers’ compensation, general liability, and commercial auto claims to the insurance company, and to involve the USI account team or claims consultant for environmental, executive/management liability, professional liability/E&O, and cyber. Natural-disaster guidance likewise points commercial P&C clients to their claims representative or client service team. The materials describe reporting assistance, not claims-handling quality or authority to settle. 27,41,42,31
