Private Company Indemnification
For an Ohio corporation, director defense expenses generally are advanced as incurred after the director gives the required undertaking, unless the articles or regulations specifically opt out. As a private company, compare your bylaws and indemnity agreement with the policy’s advancement language; Ohio corporate statute does not itself promise insurance payment. 1
Count Ohio Employees And Identify Domestic Work Carefully
Ohio’s definition is four or more persons within the state, and its employee definition excludes domestic service. The statute also includes state and political subdivisions without that private-employer count. Ask who will log the first written notice and confirm the policy reporting date. 2
