  • Compare corporate advancement with insurer defense and payment mechanics

    Section 145 permits advancement to directors/officers upon an undertaking to repay if the person ultimately is not entitled to indemnification; the company’s bylaws and policy still matter. Ask whether the D&O part advances defense costs, when consent is needed, whether costs erode limits, and how the organization is treated in a derivative claim. 2

  • List outside service and benefit plans explicitly

    Section 145(g) separately permits insurance for certain service at the corporation’s request for another entity, including an employee benefit plan, whether or not indemnification power exists. Give the carrier each subsidiary/JV and plan role.
