Private Company Indemnification
An Iowa corporation must put an optional liability limit in its articles, and it cannot reach an unauthorized financial benefit, intentional harm, a violation of § 490.832, or an intentional criminal-law violation. As a private company, compare your bylaws and indemnity agreement with the policy’s advancement language; § 490.832 does not itself promise insurance payment. 1
A Private Lawsuit Has An Agency-First Step
The code generally requires an agency complaint to be on file for at least 60 days before a private civil action, followed by an agency release. The release is subject to statutory exceptions, and a released action generally must be brought within 90 days. Treat this as a procedural step, not a pause in every other deadline.
