Private Company Indemnification
Under N.J.S.A. 14A:3-5(4), a corporate agent successful on the merits or otherwise is entitled to indemnification for reasonable expenses actually and necessarily incurred. As a private company, compare your bylaws and indemnity agreement with the policy’s advancement language; sections does not itself promise insurance payment. 1
Compensation Claims Can Span Repeated Pay Decisions
For compensation discrimination, the statute treats each affected payment or application of the practice as an occurrence and allows back pay for a continuous violation, capped at six years if the violation continues within the limitations period. Ask who will log the first written notice and confirm the policy reporting date. 3
