Private Company Indemnification
KRS 271B.8-510 requires good faith and an honest belief that official-capacity conduct served the corporation’s best interests; for other conduct, the belief must be that it was at least not opposed to those interests. Criminal proceedings also require no reasonable cause to believe the conduct was unlawful. As a private company, compare your bylaws and indemnity agreement with the policy’s advancement language; § 271B.8-510(1) does not itself promise insurance payment. 1
