Key Differences Between Embroker and Newfront
Acquisition Insurance Versus Operating Policies
a private software company plans to acquire a service business with employees and customer contracts. Embroker’s Management Insurance Suite (EMIS) offers selectable directors and officers, employment practices and fiduciary liability, plus technology E&O/cyber for eligible technology companies. Those are operating-policy options. Newfront’s transaction practice additionally describes representations-and-warranties, tax and contingent-liability insurance—specialist arrangements for specified deal risks. An operating management policy and a transaction policy answer different questions. 9 49
Give both brokers the planned transaction structure and ask what they can arrange. Newfront’s specific due-diligence service is a documented reason to investigate it for the acquisition review; Embroker’s wider brokerage role means its proprietary catalogue should not be treated as the outer limit of every placement it can undertake. Ask for a scope that separates review work, existing-policy changes and new deal insurance. 49 2 8
The buyer’s investor may also have its own insurance needs. Both companies market venture-capital asset protection to investment firms. Newfront describes a custom endorsement negotiated with participating carriers; Embroker describes coverage tailored to the investment firm’s operations. Those fund-level arrangements should be identified separately from the acquired company’s directors and officers (D&O) policy. Obtain the named insureds and insured capacities—the roles in which people are protected—rather than assume that insurance bought for one entity covers every board and investment role. 42 25 9
Contract Requirements and Excess Limits
The acquired business’s services could change the software company’s E&O exposure. Embroker’s technology program has a defined appetite and describes combined E&O/cyber protection. Newfront’s cyber practice describes negotiating wording and helping clients prepare security controls and breach response. Give each the combined service description and important customer agreements, then request an explanation of which activities and entities the proposed policy accepts. 11 38 58
If the expanded company needs higher technology liability limits, Embroker’s excess offering introduces a practical constraint: it requires eligible underlying Tech E&O, with or without cyber, and the retail FAQ says it cannot sit over an Embroker primary. Newfront can investigate a placement structure, but no source here establishes its access to that Embroker product or the compatibility of a proposed layer. Ask for the primary and excess schedule before relying on a larger total limit for the deal. 13 12 38
Newfront’s Contract Review tool extracts requirements and compares them with policies for its team. That can help organize a large set of acquired contracts, but the written response from the insurer remains the relevant confirmation for a coverage change. Embroker likewise says quotes are subject to underwriting. Neither a contract-analysis result nor an accepted online submission proves the acquired operation is insured from closing. 58 29 2
Employee Benefits and Service Terms
Newfront’s acquisition page explicitly includes ongoing employee-benefit placements, and its benefits consultants evaluate fully insured, level-funded, self-funded and captive arrangements. That gives an employer combining workforces a documented route to compare plan administration and funding. Embroker’s fiduciary-liability component instead addresses liability associated with benefit-plan responsibilities; it is not an employee health plan. Keep the benefits-design decision separate from the management-liability quote. 49 51 9
A Newfront Total Rewards engagement has its own service and exit terms, separate from the business-insurance placement.
Total Rewards agreements renew annually unless written nonrenewal notice is given at least 60 days in advance. Termination for convenience is allowed during renewal terms with 60 days’ written notice; the client must retain Newfront as broker of record through the current agreement term. Separately, a participating Block Strategy client ending the agreement for convenience during an active affected policy can owe an early-exit fee based on remaining premium savings. 52
For an acquisition with a planned benefits consolidation date, map the service term, notice deadlines and broker appointment before signing. These benefits-agreement provisions should not be assumed to govern the cyber or other business-insurance engagement. 52
Broker Authority and Renewal Access
Embroker’s FAQ says moving to another broker affects account-based certificates and changes, and a successor outside Embroker Access may not renew proprietary products. If Newfront would coordinate the combined company’s insurance, confirm access to any Embroker policies being retained. Newfront’s ability to review a policy does not establish an appointment to service or renew it. 4 10 29
For an existing Embroker management customer, the EMIS launch preserves a legacy renewal route while requiring a new application to switch programs. Ask how the acquisition affects the actual offered terms under either route. Newfront describes onboarding and renewal reviews; its Navigator requests remain preliminary until carrier approval and written confirmation. Put deadlines and accountable people beside each acquired entity, contract and policy. 9 55 29
Advisory Costs and Claims Responsibilities
Embroker’s free software is accompanied by disclosed commissions and possible negotiated client fees, plus separate financing or payment charges. Newfront’s reviewed business-insurance materials do not establish a standard account fee. Request the cost of acquisition diligence, placement, ongoing brokerage and employee-benefit services separately. Claims responsibilities should survive the handoff. Embroker provides insurer reporting instructions and policy-hotline guidance for active cyber events. Newfront describes pre-loss reporting protocols and advocacy over coverage letters, counsel and reimbursement disputes. Ask who receives notice for an event involving pre-acquisition work and who can access the necessary records after a broker change.
