A Successful Defense Triggers Expense Indemnity
Under N.J.S.A. 14A:3-5(4), a corporate agent successful on the merits or otherwise is entitled to indemnification for reasonable expenses actually and necessarily incurred. Ask whether the policy advances defense costs separately and what repayment undertaking applies. 1
Corporate Documents Can Narrow Other Indemnity
Except for required successful-defense indemnity, § 14A:3-5(11) makes indemnification subject to corporate provisions in force when the alleged cause of action accrued; subsection (13) limits later amendments that impair accrued rights. Ask for the operative certificate and bylaws, not only current versions. 1
Nonprofit Trustees Have a Separate Liability Rule
New Jersey’s nonprofit statute separately addresses trustee liability and permits certificate limits; certain uncompensated trustees of qualifying charitable organizations receive a statutory protection. Identify whether the insured is a Title 15A nonprofit and confirm how the D&O policy treats insured claims and any remaining exposure. 2
