Derivative Payments Must Be Reported to Stockholders
Maryland requires written reporting of indemnification or expense advances arising from a proceeding by or in the right of the corporation with the next stockholders’ meeting notice or before the meeting. Confirm which officers handle that report and keep a record of amounts paid. 2
