Directors and Officers (D&O) Insurance in Alaska

For corporations governed by AS 10.06, an articles clause can limit director monetary damages for fiduciary-duty breaches, but not loyalty breaches; bad-faith, intentional-misconduct or knowing-law violations; willful or negligent dividends or stock repurchases using funds not lawfully available; or improper personal benefits. It cannot cover acts before the clause or amendment takes effect.   • The Articles Must Opt In

    Alaska says the director-liability provision is ineffective unless the articles expressly include it. Verify the filed articles and any amendments before treating statutory exculpation as part of the company’s protection. 1

  • Distribution Claims Have a Specific Hook

    A director who assents to specified excess shareholder distributions or loans contrary to § 10.06.485 or the articles may be liable to the corporation unless the director meets § 10.06.450(b)’s duty standard; liability is measured by the excess distribution or loan. Ask how the policy treats a claim under this section. 3

  • Insurance When Company Indemnity Is Unavailable

    Alaska law permits a corporation to insure a director or officer even when the corporation cannot indemnify that person. Ask whether the policy pays the individual’s defense costs directly and when defense-cost advancement begins. 2

Alaska Division of Insurance

The Alaska Division of Insurance regulates insurers and insurance licensees, provides company and licensee searches, and investigates insurance complaints within its authority. Reported tax rate: 2.7% of gross premium less returns plus 1% filing fee; wet marine: 0.75%, no fee For covered property and casualty surplus-lines risks, Alaska lists a 2.7% tax and a separate 1% filing fee on gross premium less returned premium. Qualifying wet-marine and transportation policies instead carry a 0.75% tax on gross premium and no filing fee; risks of state or local government and certain interstate aircraft are exempt from both tax and fee.   • Alaska has a placement-list exception: If a risk appears on Alaska’s surplus-lines placement list, the Division says the broker does not have to canvass admitted insurers for declinations before placement; the broker must document the applicable list entry. 8
