What Do Consultants Need From Professional Liability Insurance?
You need cover for the claim your work is most likely to produce: a client says your advice or deliverable led to a financial loss. Texas's insurance regulator says professional liability can help with settlements, legal fees and judgments when a mistake causes a client to lose money, and lists IT consulting among the services it applies to. The Insurance Information Institute names IT and management consultants among the professionals who should consider it.1,2
General liability does not answer that claim. The Insurance Information Institute lists negligence, misrepresentation and inaccurate advice among the claims general liability does not cover but professional liability does, and Texas's regulator says the two address different kinds of damage. The Institute also says professional liability is not included in a business owners policy.1,2
Clients often make it a contract term. Texas's regulator confirms a person hiring you can require professional liability insurance and proof of it. Insurers that sell to consultants describe the same trigger: one lists a contract requiring E&O among the situations where it comes up, and another says it aligns policies with client contract terms. Read each client agreement for required limits before you ask for quotes.1,4,5
Which Professional Liability Exposures Do Consultants Face?
Your exposure is whatever clients rely on. Insurers that sell to consultants list the claims as errors, omissions, missed deadlines and bad advice; one adds that a client may claim false or misleading information convinced them to sign a contract with you.6,7
Promises in your engagement letter can fall outside the policy. In a carrier's specimen professional liability policy, claims based on breach of express warranties or guarantees are excluded, and damages do not include the return, reduction or restitution of fees, or liquidated damages. A client who disputes your fee or says you guaranteed a result may be asking for something the policy does not pay.3
Work you did not schedule may not be covered. In the same specimen, only the services listed in an endorsement count as "professional services", and only when performed for others for a fee. Insurers also draw lines between types of consulting: one published appetite list favors business, human resource, management and market research consultants and ordinarily declines health and safety consultants and financial advisors.3,8
Associates and subcontractors need a second look. In the specimen, "employee" includes independent contractors, but only while they perform professional services on behalf of or at the direction of the insured business. If you bring in freelancers, ask how the policy treats their work.3
What Should Consultants Check Before Buying Professional Liability Insurance?
Give the insurer the real list of services you sell, and ask that each one be named on the schedule. Ask whether your type of consulting is within the insurer's appetite before you spend time on an application; one insurer's published appetite list, for example, declines some consulting classes.3,8
Pin down claims timing. In the specimen, a claim must be first made and reported during the policy period, acts before the retroactive date are excluded, and so are matters you knew about that could lead to a claim. If the policy is cancelled or not renewed, you can buy an optional extended reporting period for claims from earlier work. The Insurance Information Institute says most professional liability policies are claims-made, and that if you change careers or retire an occurrence policy may suit you; Texas's regulator defines both.1,2,3
Compare limits, defense and settlement terms against your contracts. In the specimen, the each-claim limit is the most the insurer pays for damages, claim expenses and supplemental payments, so defense costs reduce what is left. The insurer may recommend a settlement, and if you refuse it, its liability is capped at the amount the claim could have settled for plus expenses to that point. Ask the same questions of any quote.3
Have your numbers ready. Texas's regulator says insurers estimate premium from payroll, sales, billable hours or number of clients and may audit afterward, so give accurate estimates.1

Often a client decides. Texas's regulator says a client can require you to carry professional liability insurance and show proof, and that some professions need it to get a license. Read each engagement agreement and, if you hold a professional license, check that license's requirements.1
