Fiduciary Liability vs. D&O: What Is the Difference?

Fiduciary coverage centers on alleged duties in employee benefit plans; D&O centers on claims against directors and officers for organizational management decisions. A combined policy may still use separate grants and limits.

The policies address different capacities and alleged conduct. Travelers describes fiduciary liability in relation to company-sponsored retirement or health plans, and describes D&O as responding to wrongful-act claims against an organization’s board or officers. An executive could face both kinds of allegations in one dispute, but the policy grants, insured definitions, exclusions, and limits determine which coverage applies.

Do not assume a broad “management liability” package makes the two interchangeable. Compare the fiduciary and D&O forms attached to the quote: who is insured, what counts as a claim or wrongful act, whether defense expenses erode each limit, how claims are allocated, and whether one shared aggregate applies. Check for exclusions concerning benefits, plan matters, or insured-versus-insured claims, and confirm how the carrier handles a complaint asserting both corporate and plan-related conduct.
