Does D&O Cover Intellectual Property?

Usually not for the business’s own patent, copyright, or trade-secret liability; a management claim tied to IP may be treated differently.

D&O is aimed at management liability, while an IP infringement claim usually concerns the organization’s use or ownership of intellectual property. If a complaint also alleges that leaders misrepresented an IP asset or mishandled a corporate decision, any D&O response would depend on the allegations, insured capacity, and policy wording. The policy does not turn into IP defense insurance merely because executives are named. Review the wrongful-act definition, intellectual-property or professional-services exclusions, entity coverage, and allocation language. Ask about separate IP or E&O protection for infringement allegations against the company.

If the company is accused of infringing a patent, copyright, trademark, or trade secret, D&O is not a general IP-defense policy; the Travelers specimen includes an intellectual-property exclusion. A distinct allegation that leaders misrepresented an asset or mishandled a decision could raise a management claim, but the same policy may exclude the underlying IP loss. Side A/B/C grants identify who is protected, not which IP causes of action are covered. Read the specific IP and professional-services exclusions, the wrongful-act definition, and allocation language. Compare those terms with any separate E&O, media, or IP policy before assuming one line responds.
