D&O vs E&O: What’s the Difference?

D&O addresses covered management-related claims; errors and omissions (E&O) addresses claims about professional services or advice.

D&O and E&O respond to different alleged roles. Hartford describes D&O as protection when directors or officers are sued over wrongful management acts, and E&O as protection when a client alleges mistakes in professional services. A software company could face both kinds of allegations in one dispute, so policy coordination and exclusions matter. Compare who is insured, what conduct triggers each policy, whether defense costs reduce limits, and how each form handles overlapping allegations. A combined package does not guarantee that every claim fits one coverage section; review both forms and their exclusions.

The distinction turns on the capacity in which the insured acted. A customer alleging that a company’s service failed may look to E&O; an investor alleging that directors mismanaged the company may look to D&O. A single complaint can contain both kinds of allegations, so allocation and exclusions matter. D&O’s A/B/C grants govern individuals, indemnification, and sometimes entity claims; E&O wording may insure professional services by the company or its staff. Compare insured entities, definitions, defense-cost treatment, retroactive dates, and any contractual or IP exclusions in both forms. Neither coverage label guarantees payment for mixed claims.
