Does D&O Cover Breach of Contract?

Not simply because a contract is involved; coverage depends on whether the claim alleges a covered management wrongful act and how exclusions apply.

A commercial contract dispute over unpaid invoices or promised performance is not automatically a D&O claim. A plaintiff might also allege that a director or officer made a wrongful management decision, but the insurer will apply the policy’s definitions and exclusions to the actual allegations. Some forms address contractual liability or claims brought by one insured against another; terms vary. Check whether the insured is sued in an individual management capacity, the wrongful-act definition, contract and insured-versus-insured exclusions, and allocation for mixed claims. Professional liability or another line may address different service-related allegations.

A contract allegation may describe a payment obligation rather than a management wrongful act, and contractual-liability wording can affect whether a claimed loss qualifies. Side A/B would apply only to an insured person sued for covered conduct; Side C requires the organization to be insured for that claim type. An insured-versus-insured exclusion may also matter when counterparties include an investor or affiliate. Compare the complaint, wrongful-act definition, contract exclusion and exceptions, and any professional-services exclusion. If the dispute concerns services delivered to a customer, E&O may be more relevant, but its own policy language and exclusions must be checked.
