What Does D&O Insurance Cover?
It can cover defense costs and covered settlements or judgments for defined management-related claims, subject to limits, exclusions, and the policy’s terms.
D&O commonly addresses claims alleging a wrongful act in an insured management capacity, such as a misstatement, governance decision, or alleged failure of oversight. Triple-I lists shareholder suits, creditor or investor allegations, mismanagement, and regulatory matters as examples that may target leaders. Some policies also cover the company, but a private-company entity grant may differ from public-company securities coverage. Review the definition of claim and wrongful act, insured-person and entity grants, covered loss, retention, defense-cost treatment, and exclusions; an allegation fitting a broad category does not by itself establish coverage.
The sides matter because a claim may name both a leader and the company: A and B address individual liability and company reimbursement, while C concerns covered claims against the entity. A grant can be limited to securities claims or use broader private-company wording. Conduct exclusions, prior or pending matters, and claims by one insured against another can change the result.
