Does D&O Cover Founders?
Often, if a founder meets the policy’s definition of an insured person and the claim concerns a covered management capacity.
A founder title alone does not establish insured status. The Travelers private-company specimen defines insured persons to include certain directors, officers, employees, and functional equivalents, but each policy’s wording and named entities control. Coverage also depends on the alleged act, when the claim is made and reported, and applicable exclusions. A founder’s separate work as a consultant, shareholder, or service provider may fall outside the management capacity insured. Check each founder’s role against the definition of insured person, the wrongful-act definition, prior-acts date, and insured-versus-insured or professional-services exclusions.
A founder may be an insured as a director, officer, manager, or sometimes employee, but coverage ordinarily follows the capacity listed in the policy. The same individual acting as a shareholder or outside consultant may not be protected in that separate role. Side A and B concern claims against insured people; Side C is the company’s separate grant. Check the founder’s legal title and entity against the definitions and schedules, plus prior-acts dates and insured-versus-insured terms. If a founder leaves or changes roles, ask whether past service remains covered under renewal or run-off wording.
