Does D&O Cover Employees?

Some forms include employees as insured persons, but coverage is limited to defined acts in an insured capacity and subject to exclusions.

D&O focuses on management-related liability, not every workplace event or employee lawsuit. The Travelers private-company specimen includes employees in its insured-person definition, while Triple-I treats employment practices as a possible leadership claim and notes that EPL coverage may be added or purchased separately. Those statements show why the actual form matters: another policy may define employees or covered employment claims differently. Check whether current and former employees are insured persons, whether the claim is against the company or an individual, and how employment-related wrongful acts, wage disputes, and insured-versus-insured claims are treated.

Some forms include employees as insured persons, but that does not make every employee-related dispute a D&O claim. Side A or B may apply to a covered management claim against an eligible employee; Side C depends on a separate entity grant. Employment exclusions and insured-versus-insured provisions can narrow claims, while a separate EPLI section may respond to allegations such as discrimination or harassment. Check how the form treats current and former employees, applicants, wage claims, and claims by the company. Confirm whether EPLI is included, separately limited, or shares the D&O aggregate.
