Does D&O Cover Investors?

An investor who is only a shareholder is generally a potential claimant rather than an insured person under a D&O policy. A person who also serves as a director or officer may have coverage for claims arising from that insured role. Some policies provide entity coverage for specified securities claims, but that does not make all investors insured for every dispute. Read insured-person and insured-capacity definitions, the securities-claim definition, and any investor or insured-versus-insured provisions. If investors require protection or particular terms, confirm the exact request with counsel and the insurer rather than assuming the company policy grants it.

The distinction is between being an investor who brings a claim and an investor who also serves in an insured role. A director-investor may receive Side A or B protection for covered conduct as a director, while Side C may protect the company for defined securities claims; neither automatically insures a shareholder in their investor capacity. Insured-versus-insured wording may affect disputes between the company and an insured investor. Check the investor’s role, the plaintiff and defendant definitions, securities-claim scope, and any derivative-claim exception. Do not promise an investor coverage based only on ownership or a financing document.
