Does a Private Company Need D&O Insurance?

A private company may choose D&O when its leaders face governance, investor, creditor, employee, or regulatory claims; it is not automatically required.

Private-company D&O can address claims against directors and officers over management decisions, and some forms also insure the organization for defined wrongful acts. A private firm may have no public shareholders yet still face disputes with investors, lenders, employees, or other stakeholders. A Travelers specimen shows a private-company form with individual, reimbursement, and organization grants, but that dated wording is only an example. Consider the company’s indemnification ability, board makeup, financing documents, and foreseeable disputes; then check the quote’s entity grant, insured capacities, securities definition, exclusions, and whether limits are shared with other management coverages.

Private-company forms can differ from public-company forms in what they insure at the entity level: a specimen may grant Side C for organization wrongful acts, while another grant may be confined to securities claims. Insured-versus-insured clauses can affect internal disputes, and prior-acts or conduct exclusions can affect known problems. Ask whether every subsidiary and board role is included, whether investor claims qualify, and whether the company and individuals draw from one limit. Review the definitions and endorsements with the quote rather than comparing the “private company” label alone.
