## How Spot helps

1. **Gather the deal documents.** Your Spot team collects the draft purchase agreement and disclosure schedules, due-diligence reports, a description of the buyer, seller and transaction, and any issues already identified, and prepares them for underwriting.
2. **Confirm who is insured.** We work with brokers to take the deal to market, then show whether each proposal protects the buyer or the seller, who can recover under it, and how that recovery interacts with claims against the seller.
3. **Check the policy against the purchase agreement.** Spot compares the representations in the purchase agreement and schedules with the statements the policy is meant to insure, and asks how issues already known from diligence are treated.
4. **Compare the limit to the deal size.** Spot lays the proposed limit and retention next to the size of the deal and the seller indemnity or escrow still in the agreement, and notes how long the policy runs after closing.

## Who we help

- **Buyers of a business.** A statement in the purchase agreement that turns out to be wrong can mean a financial loss after you’ve paid.
- **Sellers.** A seller-side policy can protect you if a statement you made in the agreement proves inaccurate.
- **Deals where seller security is limited.** When there’s little escrow or indemnity to recover from, how the policy interacts with what remains becomes a central question.
- **Founders selling to an acquirer.** If the buyer takes out a policy, understand early what it means for your own responsibility under the agreement.

## When to get this coverage

- **You signed a letter of intent.** Bring Spot in while the agreement is still a draft, so the documents underwriters need are ready as diligence progresses.
- **Diligence turned up an issue.** Tell your Spot team now, so the issue is raised with underwriters and you can see how each proposal treats it.
- **The seller can’t offer much security.** Ask how the proposed policy interacts with whatever indemnity or escrow remains in the agreement, while its terms are still open.
- **You’re selling and want a clean exit.** Confirm whether the policy is seller-side or buyer-side, and how recovery under it interacts with claims against you as the seller.
- **You need tax or contingent-liability protection too.** Those are separate transaction products. Ask for each one to be listed in the quote.

## Common questions

Also known as reps and warranties insurance, R&W insurance, RWI, warranty and indemnity insurance, W&I insurance and M&A insurance.

### Our deal team already has a transaction broker. Can Spot still help?

Yes. Spot works alongside that broker, preparing the deal documents and comparing proposals, and takes no commissions on premiums. If you’d rather use a different broker for this transaction, you can switch.

### What is reps and warranties insurance?

Also called R&W insurance or RWI, and warranty and indemnity (W&I) insurance in many markets outside the US, it can protect a buyer or seller from financial loss when a statement of fact in a business purchase agreement is inaccurate.

### Does it cover problems we already know about?

Don’t assume so. Ask how the quote treats issues known from diligence or disclosure, as opposed to inaccuracies nobody knew about at signing.

### Does it rewrite my purchase agreement?

No. The insurance is arranged around the agreement. Representations are statements of fact, while an indemnity is a separate promise to be responsible for loss.

### Does it replace D&O?

No. This is arranged around one transaction, and it’s a different discussion from ongoing directors and officers or management liability coverage.
