## How it works

- **Tell us who runs and owns the company.** Share your entity structure, owners, board and officers. Your Spot team asks about funding rounds, sales or other changes you’re planning.
- **We assemble your financial picture.** Spot collects your financial statements, any claims, disputes or earlier notices and your expiring policy into one submission.
- **Brokers take it to market.** We work with brokers to bring your submission to D&O insurers, and follow up on underwriters’ questions about governance and plans.
- **Compare who each proposal protects.** See whether each quote protects individual leaders, reimburses the company and covers company claims, and whether defense costs reduce the limit.

## What you’ll need

- **Entity and ownership overview.** Your legal entities, who owns them and how they relate, so the policy names the right organizations.
- **Financial statements.** Recent financials, which underwriters use to understand the company they’re being asked to insure.
- **Cap table and funding.** Investors, funding history and any round you’re planning, because investor claims are a main D&O concern.
- **Board and officers.** Who sits on the board and who the officers are, including any independent directors.
- **Planned transactions.** A financing, sale, merger or other change the business is considering, which underwriters will want to know about.
- **Claims, disputes and earlier notices.** Past claims and any dispute or notice that could affect how a new or renewal policy treats prior matters.
- **Current D&O policy.** Your expiring terms, so changes at renewal and the scope of company coverage can be compared.

## What affects your price

- **Funding and ownership.** Investors and outside shareholders mean more people who could bring a claim, and that shows in the price.
- **Financial strength.** Underwriters read financial statements to judge how stable the company is.
- **Limits and retention.** Larger limits cost more, and a higher retention can lower the premium.
- **Scope of company coverage.** Coverage for the company itself, beyond securities claims, is a broader grant and can add to the price.
- **Claims and disputes.** Prior claims or open disputes can raise the price or lead to exclusions for those matters.
- **Planned transactions.** A financing or sale in the works changes the exposure an insurer is pricing.

## Common questions

### Does D&O cover the company as well as its leaders?

It can, but company coverage may be narrower than protection for individual leaders. Some grants cover only securities claims. We check this in every proposal.

### Does D&O replace employment practices coverage?

Don’t rely on D&O alone for employment claims. We check whether a management liability program includes employment practices coverage and what it covers.

### Do legal defense costs reduce the limit?

Sometimes. Whether defense costs reduce the amount left for a settlement differs by quote, so we put it on the comparison.

### Does my broker stay involved in D&O?

Yes, if you want. Spot prepares the submission and works with your broker, with no commissions on premiums. You can also use Spot to find a different broker.
