# Technology E&O Insurance in Wyoming

Wyoming Statutes section 1-3-105 gives ten years for an action on a specialty or any contract, agreement, or promise in writing, and eight years for a contract not in writing, express or implied. Fraud is four years, and section 1-3-106 says a fraud claim does not accrue until the fraud is discovered. Section 1-3-107 is narrower: a cause of action from an act, error, or omission in rendering licensed or certified professional or health care services must be brought within the greater of two years from the act or two years from discovery, if the claimant shows the error was not reasonably discoverable in two years or was missed despite due diligence. If the error is discovered during the second year, the period is extended six months. Section 1-1-109 then allocates fault for wrongful death or injury to person or property. Recovery is allowed only if the claimant’s fault is not more than 50 percent of the total fault of all actors, and each defendant pays only that defendant’s proportion of the total fault.[^1][^2]

## What to Watch for in Wyoming

### A signed writing is ten years, and an unwritten promise is eight

Section 1-3-105(a)(i) is ten years for a specialty or any contract, agreement, or promise in writing. Subsection (a)(ii) is eight years for a contract not in writing, express or implied, and for a liability created by statute other than a forfeiture or penalty. A foreign claim that accrued before the debtor became a Wyoming resident is a separate five-year period measured from the time the debtor establishes residence. Injury to personal property, and an injury to rights that does not arise on contract, are four years. The ten-year writing period is not the notice deadline in an E&O policy.[^1]

### Licensed professional errors use two years, with a six-month extension if discovery falls in the second year

Section 1-3-107 applies to an act, error, or omission in the rendering of licensed or certified professional or health care services. The suit must be brought within the greater of two years from the act, or two years after discovery if the claimant establishes that the error was not reasonably discoverable within two years or was not discovered despite due diligence. Discovery during the second year of that two-year period extends the time to sue by six months. A software firm that is not rendering licensed or certified professional services does not fall under this section on the statute’s words. Ask whether the work is licensed or certified before you replace the ten-year writing period with two years.[^2]

### More than half the fault bars the claim, and each defendant pays only its share

Section 1-1-109(b) allows recovery for wrongful death or injury to person or property only if the claimant’s contributory fault is not more than 50 percent of the total fault of all actors. Damages are diminished in proportion to the claimant’s fault. Fault includes negligence, strict tort or strict products liability, breach of warranty, assumption of risk, and misuse or alteration of a product. The court enters judgment against each defendant only to the extent of that defendant’s proportion of the total fault. The jury is told the consequences of its percentage findings. A pure unpaid-fee case is not this section.[^2]
