# Technology E&O Insurance in Washington

RCW 4.16.040 gives six years for an action upon a contract in writing, or a liability express or implied arising out of a written agreement, except as provided in RCW 64.04.007(2). The same section gives six years for an action upon an account receivable, defined as any obligation for payment incurred in the ordinary course of the claimant’s business or profession, whether arising from one or more transactions and whether or not earned by performance. RCW 4.22.070 makes each defendant’s liability several only, and not joint, except where persons acted in concert or one is an agent or servant of the other, and except where a fault-free claimant’s judgment defendants are jointly liable for the sum of their proportionate shares. A signed technology agreement uses the six-year writing period unless the real-estate exception applies. A negligence injury uses the several-liability rule. Policy notice is a third clock.[^1][^2]

## What to Watch for in Washington

### The six-year contract period is for a writing, with a real-estate exception

Subsection (1) reaches a contract in writing and a liability express or implied arising out of a written agreement. It excepts what RCW 64.04.007(2) provides. An oral change order is not subsection (1). A master services agreement and a signed statement of work are. The 2012, 2007, and 1989 amendments are noted on the section. Do not treat the six years as the E&O retroactive date.[^1]

### Unpaid invoices can be an account receivable even before the work is earned

Subsection (2) defines an account receivable as any obligation for payment incurred in the ordinary course of the claimant’s business or profession, whether from one or more transactions and whether or not earned by performance. A technology firm’s unpaid invoices can be this action. The notes say the 2007 change applies to causes of action on accounts receivable whether commenced before or after July 22, 2007. The filing period still does not satisfy a policy notice condition.[^1]

### Joint liability is the exception, and a fault-free claimant can collect the defendants’ combined shares

RCW 4.22.070(1) states that liability of each defendant shall be several only and shall not be joint, except the cases the subsection lists. Responsibility for another’s fault arises where both acted in concert or where one is the agent or servant of the other. A claimant who is free of fault can hold the judgment defendants jointly liable for the sum of their proportionate shares. Subsection (2) addresses contribution between jointly liable defendants and the effect of a settlement. Read that subsection before you assume one insured owes only its percentage.[^2]

### Surplus-Lines Tax and Stamping Office

**Reported tax rate:** 2% of premium The NAIC's state chart lists a 2% of premium charge for surplus-lines coverage for Washington (the chart's state entries were reviewed in October 2025). Your broker may collect the applicable amount with the premium. Surplus-lines insurers are not licensed in the state and generally are outside state guaranty-association protection; ask your broker to explain the insurer's financial protections and any diligent-search requirement that applies to your placement.[^6][^7]
