# Technology E&O Insurance in Vermont

Vermont Statutes Annotated title 12, section 511 says a civil action, except one brought upon the judgment or decree of a court of record of the United States or of Vermont or some other state, and except as otherwise provided, shall be commenced within six years after the cause of action accrues and not thereafter. Section 1036(a) is the negligence rule: recovery is allowed when the plaintiff’s negligence was not greater than the causal negligence of the defendants, and each defendant is liable only for the proportion of the dollar award that matches that defendant’s causal negligence among the defendants against whom recovery is allowed. Subsection (b), effective April 22, 2024, prohibits comparative negligence as a defense on negligence claims relating to a sexual act under 13 V.S.A. § 3251 or sexual conduct under § 2821. A technology civil action uses six years unless a more specific statute says otherwise. A negligence injury uses the causal-negligence ratio.[^1][^2]

## What to Watch for in Vermont

### Six years is the civil-action period, with two carved-out categories

Section 511, as amended in 1959, covers a civil action. It does not cover an action on a judgment or decree of a court of record of the United States, Vermont, or another state. It also yields where the law otherwise provides. A suit to enforce an out-of-state judgment on a technology award is the carved-out category, not the six-year row. A suit on the contract itself is a civil action under this section unless another statute sets a different period.[^1]

### The action has to be commenced within six years and not thereafter

The statute says not thereafter. There is no grace period in the sentence. Accrual is the starting point, and the section does not define it for a multi-year implementation. Put the contract date, the breach, and the policy’s notice deadline on one page. A claim can be inside six years and still late under the policy.[^1]

### Multiple defendants split the dollars by causal negligence, and a sexual-conduct claim is different

Where recovery is allowed against more than one defendant, section 1036(a) limits each defendant to the share of the total dollar award equal to that defendant’s causal negligence divided by the causal negligence of the defendants against whom recovery is allowed. The plaintiff recovers only if the plaintiff’s negligence was not greater than the defendants’ causal total. Subsection (b) takes comparative negligence away as a defense that would limit recovery on a negligence claim relating to a sexual act or sexual conduct as those terms are defined in title 13. An ordinary systems-failure case is subsection (a), not subsection (b).[^2]
