# Technology E&O Insurance in Pennsylvania

Title 42, section 5525, gives four years for an action on a contract for the sale, construction, or furnishing of tangible personal property or fixtures, for an express contract not founded on a writing, for a contract implied in law unless another limitation in the subchapter applies, and for a contract, obligation, or liability founded on a writing that is not a bond or note, under seal or otherwise, unless another limitation in the subchapter applies. Sales-of-goods actions that are subject to 13 Pa.C.S. § 2725 are also listed in the four-year section. Section 7102 then handles negligence that causes death or injury to person or property. The plaintiff’s negligence does not bar recovery when it was not greater than the causal negligence of the defendants, and damages are diminished by the plaintiff’s share. Each defendant’s liability is several unless the case is intentional misrepresentation, an intentional tort, a hazardous-substance release, a Liquor Code section 497 violation, or the defendant is held liable for at least 60 percent of the total liability apportioned to all parties.[^1][^2]

## What to Watch for in Pennsylvania

### A signed services contract and a sale of hardware are different paragraphs of the same four-year section

Section 5525(a)(8) is the row for a contract, obligation, or liability founded upon a writing other than the bond or note in paragraph (7), under seal or otherwise, except an action subject to another limitation in the subchapter. Paragraph (1) is a contract for the sale, construction, or furnishing of tangible personal property or fixtures. Paragraph (2) points to the sales-article period in 13 Pa.C.S. § 2725. A statement of work for services is paragraph (8) if it is a writing and no other limitation applies. A contract to furnish hardware can be paragraph (1). An oral express contract is paragraph (3), still four years.[^1]

### The plaintiff’s negligence bars the case only when it is greater than the defendants’ causal negligence

Section 7102(a) applies to negligence resulting in death or injury to person or property. Recovery is allowed when the plaintiff’s negligence was not greater than the causal negligence of the defendant or defendants against whom recovery is sought. Damages are then diminished in proportion to the negligence attributed to the plaintiff. Equal negligence is not greater, so it does not bar the claim. The section does not split a contract price.[^2]

### Sixty percent of the apportioned liability makes the judgment joint

Section 7102(a.1) makes a defendant’s liability several, with a separate judgment for that defendant’s apportioned share, except the actions in paragraph (3). Those actions are intentional misrepresentation, an intentional tort, a defendant held liable for not less than 60 percent of the total liability apportioned to all parties, a release or threatened release of a hazardous substance under the Hazardous Sites Cleanup Act, and a civil action for a violation of Liquor Code section 497. A technology defendant at 60 percent can be jointly liable for the total dollar amount awarded. A defendant who pays more than its share can seek contribution from defendants who paid less.[^2]

### Surplus-Lines Tax and Stamping Office

**Reported tax rate:** 3% of gross premium (2% for eligible surplus-lines risk retention groups) Pennsylvania charges 3% of gross surplus-lines premiums (2% for an eligible surplus-lines risk-retention group); the tax is in addition to premium, is borne by the insured, and is collected by the producer. For multistate risks, the 2025 Revenue instructions say all gross premiums are taxable when Pennsylvania is the home state, while Insurance Company Law §1621(d) says tax is levied only on premium reasonably ascribable to Pennsylvania risk; confirm allocation with your producer or the state.
