# Technology E&O Insurance in Ohio

Ohio Revised Code 2305.06, in the text effective September 23, 2026, says an action upon a specialty or an agreement, contract, or promise in writing shall be brought within six years after the cause of action accrued. That filing period is not the notice deadline in an E&O policy. Section 2315.21 separately limits the punitive or exemplary judgment a court may enter. In the ordinary case the court shall not enter a punitive judgment greater than two times the compensatory damages awarded against that defendant. A small employer or individual is limited to the lesser of two times compensatory damages or 10 percent of net worth when the tort was committed, up to $350,000. The section does not apply to a specified purposeful or knowing felony, or to tort actions against the state in the court of claims.[^1][^2]

## What to Watch for in Ohio

### Count six years from accrual, not from the policy’s retroactive date

The current text of section 2305.06 gives six years after accrual for a written agreement, contract, or promise. A hosted-software invoice dispute and a signed statement of work both need an accrual date, which the statute does not define in that sentence. Put the contract date, the breach date, and the E&O retroactive date on one timeline. The six-year statute does not extend a policy condition that requires notice of a claim during the policy period.[^1]

### Use the September 23, 2026 text

The legislative page shows the section was amended by Senate Bill 219 of the 136th General Assembly, effective September 23, 2026, and it prints earlier versions from 2012 and 2021. A claim that accrued before that effective date can turn on an earlier compilation. Ask counsel which version governs the accrual date instead of assuming every Ohio technology contract now in litigation uses six years.[^1]

### Punitive exposure is a multiple of compensatory damages, with a tighter small-employer test

Section 2315.21 tells the court not to enter a punitive judgment above two times the compensatory damages awarded against that defendant. If the defendant is a small employer or individual, the ceiling is the lesser of that multiple or 10 percent of net worth when the tort was committed, up to $350,000. The section uses its own small-employer definition. It does not apply where the defendant acted purposely or knowingly and was convicted of or pleaded guilty to a felony, with that mental state as an element, that is the basis of the tort. It also does not apply to tort actions against the state in the court of claims, including certain state-university actions under section 3345.40.[^2]

### Surplus-Lines Tax and Stamping Office

**Reported tax rate:** 5% of gross premium, net of return premiums For Ohio-home-state surplus-lines placements, Ohio sets a 5% tax on gross premiums after returned premiums and requires the surplus-lines broker to collect it when the policy is delivered. A diligent search usually applies; a qualifying exempt commercial purchaser may request nonadmitted placement in writing after disclosure that authorized-market coverage may offer greater protection, and the policy requires a signed notice of no Ohio guaranty-association benefits.[^6][^7][^8]
