# Technology E&O Insurance in New Jersey

New Jersey sets different clocks for the two halves of a technology deal. N.J.S.A. 2A:14-1 gives six years for recovery upon a contractual claim, express or implied, so a customer can sue a software or services vendor six years after the claim accrues. Subsection b of that section carves out contracts for sale of goods, which N.J.S.A. 12A:2-725 limits to four years, and the parties may reduce that to not less than one year but may not extend it. A lease of equipment has its own four-year clock under 12A:2A-506, where accrual runs from discovery. A claim-made E&O policy must therefore stay in force, or carry an extended reporting period, through a six-year exposure on the services side. Under N.J.S.A. 2A:15-5.3 a party found 60 percent or more responsible for the total damages can be made to pay all of them, so a vendor that is the largest contributor to an outage can carry the whole judgment.[^1][^2]

## What to Watch for in New Jersey

### A services claim can be brought six years after it accrues

N.J.S.A. 2A:14-1(a) applies six years to recovery upon a contractual claim or liability, express or implied, not under seal. The Judiciary's public guidance states the general contract period as six years. A vendor that delivered a system in year one can still be sued for the defect in year six, and the claim-made policy in force when the claim is made is the one that responds. Keep continuous coverage, or buy an extended reporting period, through the whole six years after the last engagement.[^1][^2]

### Bundled hardware and software can split into a four-year clock and a six-year clock

Section 2A:14-1(b) says the six-year rule does not apply to an action for breach of any contract for sale governed by 12A:2-725. That section allows four years from breach, accrues on tender of delivery even if the buyer does not know of the breach, and lets the original agreement cut the period to not less than one year. A vendor that sells a device with a support contract can face the two periods on one deal, and the fixed accrual date on the goods side does not wait for discovery. Ask how the agreement classifies the product and the service.[^1]

### A leased system runs from discovery, and the lease can cut it to one year

N.J.S.A. 12A:2A-506 gives four years for default under a lease contract, including breach of warranty or indemnity, and accrual is the later of when the act or omission is or should have been discovered or when the default occurs. The original lease may reduce the period to not less than one year. An indemnity claim accrues when the indemnified party discovers the act or omission. Section 12A:2A-506(3) adds six months to refile after a timely action ends, unless it was voluntarily dropped or dismissed for neglect to prosecute.[^1]

### Being 60 percent at fault makes you liable for the whole verdict

In a negligence action, N.J.S.A. 2A:15-5.3(a) lets a party recover the full amount of the damages from any party the trier of fact finds 60 percent or more responsible for the total damages. A hosting or integration vendor that is the main cause of an outage among several contributors can therefore be the only defendant able to pay, and must then seek contribution from the others. Confirm the E&O limit is sized for the full loss, and that the policy covers the vendor's contribution claims.[^1]

## Who Regulates Insurance in New Jersey

**New Jersey Department of Banking and Insurance.** New Jersey DOBI licenses insurers and producers, reviews insurance products and rates, monitors insurer solvency and responds to insurance complaints. ### Surplus-Lines Tax and Stamping Office

**Reported tax rate:** 5% of gross premium, less return premium New Jersey’s Department of Banking and Insurance states a 5% surplus-lines tax for policies effective on or after July 1, 2009; its FAQ also describes direct-procurement tax filing for premium allocated to New Jersey. A New Jersey surplus-lines producer generally must make a diligent effort to place the risk with authorized insurers, subject to the exportable-list and other statutory exceptions. New Jersey’s separate surplus-lines guaranty fund has narrow coverage; ordinary commercial surplus-lines claims are generally outside guaranty protection.[^7][^8][^9]
