# Technology E&O in Delaware

Delaware defines merchandise under its Consumer Fraud Act to include intangibles and services, and “person” includes corporations and other commercial entities. Since July 23, 2026, § 2513 expressly says covered unfair or deceptive conduct may occur before, during, or after a sale, lease, receipt, or advertisement. That timing language can matter when a hosted-service provider allegedly misstates support, renewal, or remediation obligations after signing; it does not make an ordinary breach automatically deceptive or answer who qualifies as a statutory victim. Preserve post-sale support and billing communications alongside the contract. Ask the broker how the policy handles alleged post-contract misrepresentation, contract performance, and related claims.[^1][^2][^3]

## What to Watch for in Delaware

### The current statute expressly reaches conduct after the transaction

Effective July 23, 2026, 6 Del. C. § 2513(c) defines “in connection with” to include unfair or deceptive conduct before, during, or after a sale, lease, receipt, or advertisement. This followed the Delaware Supreme Court’s December 2025 decision narrowing the earlier text to pre-transaction or transaction conduct. For an ongoing software or hosting contract, preserve records of post-sale support promises, renewal statements, remediation commitments, and billing communications.[^1][^2]

### Intangible technology services fall within the statutory subject matter

Section 2511 defines merchandise to include intangibles and services and defines a person to include corporations and other legal or commercial entities. Section 2525 provides a private cause of action to a victim of a subchapter violation. Those provisions make technology offerings relevant subject matter, but each claimant and practice still must satisfy the law; the definitions do not turn every service-level dispute into fraud.[^1][^3]

### Statutory timing does not determine liability or insurance

The 2026 amendment expands the timing language for conduct that is otherwise unfair or deceptive; it does not declare routine nonperformance unlawful. Compare the signed service description and change history with the actual support, uptime, renewal, and remediation statements. Ask the broker to identify how the proposed policy treats statutory allegations, ordinary contract remedies, and post-contract conduct.[^1][^2]

### Surplus-Lines Tax and Stamping Office

**Reported tax rate:** 3% of gross premium, less return premium, when Delaware is the home state When Delaware is the insured’s home state, its 3% surplus-lines premium tax applies to the entire premium of a multistate policy, less returned premiums and excluding federal and state taxes and examination fees. Ask the surplus-lines broker to confirm the home-state determination and tax calculation, and separately explain how exposures are allocated in the required reports; those allocations do not reduce the premium subject to Delaware’s tax.[^7][^8]

3. How are related allegations across a continuing hosted-services relationship treated under the policy’s related-claims and prior-knowledge wording?

### Can Delaware’s Consumer Fraud Act concern conduct after a technology contract is signed?

Yes. Section 2513(c), effective July 23, 2026, expressly includes qualifying unfair or deceptive conduct occurring after a sale, lease, receipt, or advertisement. A routine breach still does not automatically meet the statute’s other requirements.[^1][^2]

### Does Delaware’s Act exclude intangible software and services?

No. Section 2511 includes intangibles and services in “merchandise” and includes corporations and other commercial entities in “person.” Whether a particular practice gives a particular buyer a claim remains a separate question.[^1][^3]
