# North Dakota Management Liability Insurance

North Dakota defines employer to include an in-state employer with one or more employees for more than one quarter of the year and an out-of-state employer whose worker performs any services partly or wholly in North Dakota. North Dakota’s Business Corporation Act lets articles limit director damages liability, but not for loyalty breaches, bad-faith or intentional acts, specified securities-law liability, improper benefits, or earlier conduct.[^3][^4][^1][^2]

## What to Watch for in North Dakota

### Some off-duty conduct is expressly protected

The employment provision includes participation in lawful activity off the employer’s premises during nonworking hours, unless it directly conflicts with essential business-related interests. Ask how the EPL form handles this allegation type, including wage-and-hour exclusions, defense sublimits, and notice triggers.[^3]

### Private Company Indemnification

N.D.C.C. § 10-19.1-50(5) preserves liability for loyalty breaches, bad-faith or intentional misconduct or knowing law violations, liability under §§ 10-19.1-95 or 10-04-17, improper personal benefit, and pre-effective-date conduct. As a private company, compare your bylaws and indemnity agreement with the policy’s advancement language; § 10-19.1-50(5) does not itself promise insurance payment.[^1]

### Administrative And Court Remedies Differ

Under §14-02.4-20, the department or court may order injunctions, equitable relief, and back pay capped at two years from a minimally sufficient complaint; the department and administrative hearing officer cannot order compensatory or punitive damages. Courts may award fees. Ask who will log the first written notice and confirm the policy reporting date.[^3]
