### Private Company Indemnification

Under § 53-11-4.1(E), charter exculpation is available only for qualifying breaches, and the misconduct threshold differs for directors with an ownership interest or more than $2,000 annual compensation versus those without either. As a private company, compare your bylaws and indemnity agreement with the policy’s advancement language; § 53-11-4.1(E) does not itself promise insurance payment.[^1]

The rule ties jurisdiction to 300 days after the last alleged discriminatory act and requires dates and factual grounds in the perfected complaint. Ask who will log the first written notice and confirm the policy reporting date.[^4]

## Who Regulates Insurance in New Mexico
