# Maine Management Liability Insurance

Maine defines an employer to include in-state employers with any number of employees and out-of-state employers whose employees usually work in Maine, subject to a narrow religious/fraternal exception. Maine law also treats corporations formed before its Business Corporation Act took effect as having an articles-based director monetary-liability limit unless later amended; newer corporations can adopt a similar provision in their articles.[^3][^4][^1][^2]

## What to Watch for in Maine

### Every employee gets an annual written notice

Maine requires individual written notice each year about harassment illegality and definitions, internal and Commission complaint routes, contact information, and anti-retaliation protections. The statute says delivery must ensure notice to every employee. Ask how the EPL form handles this allegation type, including wage-and-hour exclusions, defense sublimits, and notice triggers.[^4]

### Private Company Indemnification

Maine’s transition rule deems the articles of a corporation formed before the Business Corporation Act’s effective date to contain the permitted director-liability limit; later amendments can repeal or narrow it for later conduct. For a newer company, verify whether its articles adopted the provision at all. As a private company, compare your bylaws and indemnity agreement with the policy’s advancement language; § 202(2)(D) does not itself promise insurance payment.[^1]

### Training Has A Separate 15-Employee Threshold

Workplaces with 15 or more employees must train new employees within one year; the statute also specifies training content, additional supervisor training, and three-year record retention. Ask who will log the first written notice and confirm the policy reporting date.[^4]

## Who Regulates Insurance in Maine

**Maine Bureau of Insurance.** The Maine Bureau of Insurance licenses producers and companies, enforces Maine insurance laws, and investigates property and casualty complaints including commercial coverage complaints. ### Surplus-Lines Tax and Stamping Office
