# Directors and Officers (D&O) Insurance in Oklahoma

Oklahoma’s 2024 amendment to the General Corporation Act expressly permits corporations to use captive insurance for directors-and-officers liability, subject to statutory safeguards. These provisions govern Oklahoma general business corporations; confirm the insured entity’s legal form and formation jurisdiction before treating the rules as applicable.[^1]

## What Is Directors And Officers?

D&O insurance can help pay covered defense costs and losses from claims against company leaders over management decisions. If your organization has a board or executives, check whether the company itself is insured and whether legal bills reduce the limit. [Read the national Directors and officers guide](/coverage/directors-officers).

## What to Watch for in Oklahoma

### Captive Policy Safeguards

Since November 1, 2024, § 1031 permits a corporation to form a captive for D&O coverage, with required terms addressing final nonappealable findings of unlawful personal profit or deliberate criminal or fraudulent acts, non-imputation among insureds, and independent claims administration or the statutory approval route for current director or officer claims. Ask whether any captive or self-insured layer is involved and request its actual wording.[^1][^2]

### Derivative Indemnity Has a Narrower Limit

The amended § 1031 retains a separate rule limiting corporate indemnification in a derivative proceeding to reasonable expenses, subject to court authority. Ask the broker to map derivative claims, settlements, and defense advancement to the policy without assuming statutory indemnity is available.[^1]

### Who Handles Captive Claims

For current director and officer claims under a captive, amended § 1031 specifies use of an independent claims administrator or the statute’s case-specific indemnification process; derivative settlements also carry a shareholder-notice condition when notice is required. Ask who will make coverage and payment decisions before the first claim arrives.[^1]

## Who Regulates Insurance in Oklahoma

**Oklahoma Insurance Department.** OID's Licensing Division oversees new and renewed producer, adjuster, and business-entity licenses. Its consumer assistance process takes insurance complaints and requests for help; the licensee lookup displays license status and expiration.[^3][^4][^5]

- [License lookup](https://www.oid.ok.gov/licensing-and-education/licensee-look-up/)
- [File a complaint](https://www.oid.ok.gov/consumers/file-an-online-complaint/)

### Surplus-Lines Tax and Stamping Office

**Reported tax rate:** 6% of premium and fees, plus 0.175% SLAS transaction fee For Oklahoma-home-state placements, OID says the 6% surplus-lines tax base includes premium and fees; SLIP also bills a 0.175% SLAS transaction fee. Oklahoma law requires a policy notice that surplus-lines coverage has no guaranty-association protection, so ask your broker to itemize the tax and transaction fee.[^6][^7][^8]

## Providers With Documented State Licenses

These providers publish a national listing for Directors and officers; the state records document licenses for the entities and roles shown below. Some records rely on company-reported information rather than independent regulator verification. A national listing does not confirm that the product is available in Oklahoma; [check the regulator’s license lookup](https://www.oid.ok.gov/licensing-and-education/licensee-look-up/) and confirm state availability for your business when requesting a quote.

- [Coalition](/insurance-providers/coalition) — **Entity:** Coalition Insurance Solutions, Inc.; **role:** Insurance producer, Surplus-lines broker; **checked:** 2026-09-28. **Scope:** Coalition’s license page lists producer and surplus-lines licenses for Coalition Insurance Solutions, Inc. in all 50 states and the District of Columbia. The page separately lists insurers; this record covers the brokerage entity only.[^10]
- [Corgi](/insurance-providers/corgi) — **Entity:** Corgi Insurance Services, Inc.; **role:** Insurance producer; **checked:** 2026-09-28. **Scope:** Corgi’s company producer-license table lists 50 jurisdictions: 49 states and the District of Columbia, including DC license 3003091619. New Mexico does not appear in the table and is not included here; the omission does not establish that Corgi is unlicensed there. The company-reported table has no stated as-of date and does not establish product availability.[^11]
- [TechInsurance](/insurance-providers/techinsurance) — **Entity:** Specialty Program Group LLC; **role:** Insurance producer; **checked:** 2026-09-28. **Scope:** TechInsurance’s current licensing page names Specialty Program Group LLC / SPG Insurance Solutions and lists state license numbers, but labels Rhode Island “Individual licenses” rather than identifying a license for the named agency. RI is omitted because this disclosure does not establish agency authority there; this is a search limitation, not an assertion that the company is unlicensed. The remaining state entries are company-reported and are not an insurance product availability map.[^14]
- [Vouch](/insurance-providers/vouch) — **Entity:** Vouch Specialty Insurance Services, LLC; **role:** Insurance producer, Surplus-lines broker; **checked:** 2026-09-28. **Scope:** Vouch’s licenses page, effective January 16, 2025, lists producer licenses in all 50 states and DC. Its separate surplus-lines table includes Idaho number 870820, while a footnote says Georgia and Idaho do not issue agency-level surplus-lines licenses. Because those statements conflict for Idaho, this record keeps Idaho producer-only and does not treat the table number as established agency surplus-lines authority. The page is company-reported and does not establish product availability.[^15]

## Questions to Ask Before You Buy in Oklahoma

1. If any D&O layer is captive or self-insured, can you show the required Oklahoma § 1031 terms on non-imputation, claim administration, and excluded final adjudications?
2. How does the policy treat a derivative claim when corporate indemnification is limited to reasonable expenses?
3. For a securities subpoena or investigation in Oklahoma, what event triggers notice and which policy section responds?
4. Which insureds are Oklahoma corporations, LLCs, nonprofits, or foreign entities, and what law applies to each?

## Directors And Officers in Oklahoma: FAQ

### Did Oklahoma change its D&O captive rules in 2024?

Yes. SB 620 took effect November 1, 2024 and amended 18 O.S. § 1031 to authorize captive D&O coverage subject to specified safeguards. That authority does not establish that a captive policy covers a particular loss.[^1][^2]

### Does Oklahoma law guarantee indemnification for derivative claims?

No. Under amended 18 O.S. § 1031(B), a corporation’s indemnification in a derivative proceeding is limited to reasonable expenses, with statutory conditions. Ask how the policy handles defense costs and any settlement approval requirements.[^1]
