North Carolina G.S. 55-2-02(b)(3) permits an articles provision limiting directors’ damages liability but preserves liability for specified conduct, including unlawful distributions under G.S. 55-8-33. ### Volunteer Nonprofit Immunity Stops at Insurance

For qualifying nonprofit service, G.S. 55A-2-02(b)(4) provides individual civil-damages immunity for directors and officers acting within official duties, except to the extent covered by insurance and subject to statutory exceptions.
