# Directors and Officers (D&O) Insurance in New Hampshire

## What to Watch for in New Hampshire

### The Articles Cannot Remove Every Claim

RSA 293-A:2.02(b)(4) permits a charter limit on director or officer damages, but preserves four statutory categories including unlawful distributions under § 293-A:8.33. Review the filed articles and ask how the policy treats claims that fall outside the charter limit.[^1]

### Criminal Indemnity Has a Separate Test

For permissible indemnification under RSA 293-A:8.51, the person must have had no reasonable cause to believe the conduct was unlawful in a criminal proceeding, in addition to the applicable good-faith and corporate-interest standard. Ask what defense-cost advancement is available before that test is decided.[^2]

### Nonprofit Corporations Have a Different RSA Chapter

New Hampshire’s business-corporation indemnification provisions are in RSA 293-A; nonprofit corporations are governed separately under RSA 292. Confirm which entity is named and review the correct organizational documents before assessing indemnity.[^3][^1]

### Surplus-Lines Tax and Stamping Office
