For a Nevada domestic corporation, NRS 78.138 requires a duty breach plus intentional misconduct, fraud, or a knowing violation of law before a director or officer can face personal liability for damages. ## What to Watch for in Nevada

### Liability Requires Both a Duty Breach and Specified Misconduct

Under NRS 78.138, a plaintiff must establish a breach of the director’s or officer’s fiduciary duties and intentional misconduct, fraud, or a knowing violation of law; a presumption protects good-faith decisions made on an informed basis. Ask the broker how the policy treats defense costs before those issues are resolved.[^1]

### Derivative Indemnity Can Require a Court Decision

NRS 78.7502 generally restricts indemnity after the person is adjudged liable to the corporation or settles with it, unless a court finds expense indemnity fair and reasonable. Ask whether the policy can advance defense expenses while the claim is pending.[^1]

### Nevada LLCs and Nonprofits Use Different Statutes
