# Directors and Officers (D&O) Insurance in Missouri

### Charter Limits Leave Specific Claims Exposed

Missouri permits a director-liability limit in the articles, but § 351.055(9) preserves the listed loyalty, bad-faith, intentional, knowing-law-violation, § 351.345, and improper-benefit claims. Compare those allegations with the policy’s exclusions and insured-person wording.[^1]

### Check When the Charter Provision Took Effect

The Missouri articles provision cannot eliminate liability for conduct before the provision became effective. Ask for the filed articles and amendments and identify the date of the conduct alleged in a claim.[^1]
