# Directors and Officers (D&O) Insurance in Idaho

Idaho permits a corporation’s articles to limit director monetary liability to the corporation or shareholders, but the limitation is subject to statutory exceptions and cannot reach acts before it takes effect. ## What to Watch for in Idaho

### Check the Filed Articles and Effective Date

Idaho Code § 30-29-202(b)(4) makes director exculpation an articles option and preserves liability for earlier acts or omissions. Obtain the articles and every amendment for each Idaho-incorporated entity.[^1]

### The Articles Do Not Resolve Third-Party Liability

The charter provision addresses claims by the corporation or shareholders; it does not eliminate liability to outside claimants. Ask how the policy treats third-party allegations against individual directors.[^1]

### Indemnification Has a Derivative-Claim Limit

Section 30-29-851 generally limits indemnity in a proceeding by or in the right of the corporation to expenses and bars indemnity for an adjudicated improper financial benefit, subject to court authority. Compare the policy’s defense-cost treatment with the company’s reimbursement duties.[^1]

### Surplus-Lines Tax and Stamping Office

**Reported tax rate:** 1.5% of premium when Idaho is the home state for property and casualty coverage Idaho’s surplus-lines tax is 1.5%.
