# Make permits, alternate uses, and payment duties explicit

A North Carolina Business Court decision rejected a tenant’s frustration defense after its state license to operate a law school expired: the lease allowed other uses, and its force-majeure clause excluded rent. For a contract exposed to government action, write down which approval or promised use is essential, who bears that risk, what substitute performance is allowed, and whether payment continues.[^1][^2]

## What to Watch for in North Carolina

### State clearly whether the permit is a condition to payment or performance

When Charlotte School of Law lost its North Carolina license, the Business Court held that the lease did not imply a condition excusing rent; the written force-majeure clause also excluded monetary payments. If a permit or government approval is essential to your deal, identify who must obtain it, the deadline, and the exact payment, termination, or refund consequence if it is denied or delayed.[^1]

### Define whether another lawful use preserves value or counts as a substitute

The same lease allowed general office use and other legally permitted uses with approval. The court treated those contractual alternatives as evidence that losing the school license had not destroyed the lease’s expected value. Identify acceptable substitute goods, routes, sites, services, or counterparties in your own contract and policy claim plan; a law’s recognition of alternatives does not determine whether insurance responds.[^1]

### For a sale of goods, check the seller’s notice and allocation steps

North Carolina’s current UCC §25-2-615 addresses delay or nondelivery by a goods seller when an assumed contingency or good-faith compliance with a domestic or foreign government order makes agreed performance impracticable. Where capacity is partly affected, the seller must allocate fairly and notify the buyer seasonably, including the estimated quota. This sales rule does not govern every service, lease, or export agreement.[^2]

### Surplus-Lines Tax and Stamping Office

**Reported tax rate:** 5% of gross premium, less return premium, plus 0.4% NC Stamping Office fee for ordinary filed placements When North Carolina is the insured’s home state, surplus-lines tax is 5% of gross premium less return premium; ordinary broker-placed filings also carry a 0.4% stamping fee, while risk-purchasing-group and independent-procurement filings follow separate procedures. A diligent search is generally required; an exempt commercial purchaser may bypass it only after the broker discloses the admitted-market protection difference and receives the purchaser’s subsequent written request. No. In the Charlotte School of Law lease dispute, the court examined the exact permitted uses, approval rights, force-majeure clause, and rent exclusion; alternative uses and the payment carve-out defeated the defense on that record.[^1]

### Does North Carolina’s UCC rule apply to every contract affected by a government order?

No. G.S. 25-2-615 concerns delay or nondelivery by a seller under a contract for sale of goods. Confirm the transaction and governing-law scope before relying on it for a service, lease, or other agreement.[^2]
