# Nebraska contract-frustration coverage guide

In Turbines, customs seized a turbine nozzle bought for $30,000 for export to a customer in Singapore. The Nebraska Court of Appeals said UCC §2-615 addressed when a seller’s delay or nondelivery is not a breach, but did not support rescission after both sides had performed. The Nebraska Supreme Court affirmed and said supervening frustration discharges remaining duties under an executory contract; it cannot rescind a deal already fully performed. Buyers sourcing equipment for export should make destination, licensing, customs clearance, return and refund conditions explicit before paying. ## What to Watch for in Nebraska

### Tell the supplier if export or onward sale is essential

The Turbines dispute involved a turbine nozzle purchased for a Singapore customer. The Nebraska Court of Appeals found no adequate basis to rescind the purchase contract when export failed; among its factual concerns was the absence of evidence that exportability to the downstream customer was part of the supplier-buyer contract. State the destination and intended export in the signed order, not only in internal plans or later correspondence.[^1]

### Frustration is not a post-delivery refund substitute

The Nebraska Supreme Court held that Restatement frustration does not provide a rescission basis after a contract is fully performed. In Turbines, the sale and payment had occurred even though customs blocked export. A buyer that needs a refund if a government blocks destination use should negotiate an express condition, return right or allocation before purchase and payment.[^2]

### The goods-sale excuse addresses delay or nondelivery, not every loss

The Court of Appeals explained that UCC §2-615 specifies circumstances in which a seller’s delay or nondelivery under a goods sale is not a breach; it did not undo the completed sale in this case. For a cross-border equipment purchase, separate the supplier’s delivery duty from the buyer’s downstream export/use plan and identify which event each policy is intended to insure.[^1][^2]

### Surplus-Lines Tax and Stamping Office
