## What Do Contractors Need From Umbrella and Excess Liability Insurance?

The owner sets the number and the shape. Caltrans requires umbrella or excess liability on top of general liability, scales the required limit to the contract's total bid, and requires a clause that takes effect (drops down) if primary limits are impaired or exhausted. Nebraska's transportation department requires an umbrella written in excess of employers liability, general liability and auto liability. The University of Alabama lets primary and umbrella limits combine and raises the required umbrella by any shortfall in the primary. Requirements differ widely, so read each contract. Subcontractor rules differ as well. New York's transportation department requires umbrella or excess from prime contractors and says it is not required for subcontractors. The University of Alabama's form carries its $1,000,000 umbrella requirement down to subcontractors. Caltrans tells prime contractors not to require a small-business subcontractor to carry limits above its table, measured by the dollar value of the subcontracted work. Some owners want to sit on the umbrella too. Nebraska's transportation department, Indiana University and the University of Alabama each require additional insured status on the umbrella or excess policy, and Indiana wants the certificate to say the excess follows form. In ISO's commercial umbrella form as issued by one carrier, an additional insured on an underlying policy is automatically an insured on the umbrella, but when a contract requires it, the most paid for that insured is the contract's required amount less amounts payable by underlying insurance, or the umbrella limit if less, and never broader than the underlying coverage. ## Which Umbrella and Excess Exposures Do Contractors Face?

Exclusions that matter to contractors sit in the base form. In ISO's umbrella form as issued by one carrier, the exclusions include any obligation under a workers' compensation law and bodily injury or property damage due to professional services, which the form says includes inspection, supervision, quality control, architectural or engineering activities on a project where you serve as construction manager, and approving shop drawings, field orders, change orders or specifications. The Insurance Information Institute says most umbrellas also exclude employment practices, professional liability, product recall, asbestos, pollution, war and terrorism. The umbrella assumes your primary policies are in force. The form requires underlying insurance to be maintained; failure to maintain it does not invalidate the umbrella, but the umbrella then applies as if the underlying were in full effect, so you absorb the gap. Its employers liability and pollution exclusions do not apply to the extent valid underlying insurance for those risks exists, and the umbrella then follows the underlying terms. Defense changes above the primary. In the form, the umbrella has the duty to defend when underlying insurance does not provide coverage or its limits are exhausted, the duty transfers to it once underlying limits are used up in judgments or settlements, and defense expenses it pays under supplementary payments do not reduce its limits. Ask whether your quote reads the same way. Exclusion endorsements are where contractors lose cover. The University of Colorado's construction contract lets umbrella or excess meet its limits only if written on a following form basis, and it prohibits CGL endorsements that exclude damage to work performed by a subcontractor or vendor, modify the definition of insured contract, or, where they apply to the work, exclude residential or multi-family work, exterior insulation finish systems, or subsidence or earth movement. ## What Should Contractors Check Before Buying Umbrella and Excess Liability Insurance?

Match the underlying schedule to your policies. The Insurance Information Institute says underlying policies are listed with their limits on the umbrella and are typically your primary general liability, auto liability and the employer's liability section of your workers' compensation policy. Confirm each is scheduled at the limit you carry, and what you must keep in force. Ask for the list of endorsements before you bind. One issued umbrella policy lists, among its forms, a construction operations exclusion, a limitation of coverage to a designated premises or project, and an endorsement making coverage no broader than scheduled underlying insurance. Compare the list with the contract's drop-down, follow-form and additional-insured clauses. Match duration and aggregates to the contract. Washington's transportation department requires products and completed operations coverage for at least 3 years after substantial completion and per-project aggregates; Nebraska's, 3 years after final acceptance and payment; the University of Alabama, a minimum of two years after completion; Indiana University, the warranty period for all its required insurance, usually five years. Ask whether your umbrella will be renewed for that long. Ask how a wrap-up project changes your limits. Under the New Jersey Schools Development Authority's owner-controlled program, enrolled contractors leave the cost of onsite workers' compensation, employer's liability and general liability, primary and excess, out of their bids and are told to notify their insurers to endorse their policies to be excess and contingent over the program for onsite work; offsite operations are not covered. Washington's transportation department, by contrast, bars wrap-up policies from satisfying its insurance section.
