## What Do Nonprofits Need From Management Liability Insurance?

What a package includes differs by seller. One carrier's package combines directors and officers, employment practices, fiduciary and crime cover in a single policy for private and not-for-profit organizations; another carrier's page describes D&O, employment practices and fiduciary liability as standalone or blended coverage; a third carrier's 2014 nonprofit factsheet lists D&O, employment practices, fiduciary and employed lawyers' liability and no crime part; and a fourth describes up to seven optional parts, each working as a standalone policy or together. Ask which parts your quote contains instead of assuming a package includes crime. Whether to bundle is a choice. A broker's national nonprofit practice said in its 2025 report that it is encouraging nonprofit clients to consider splitting up (unbundling) these exposures under separate policies for better coverage, lower retentions and better premiums. Your nonprofit may be several entities. In a 2009 nonprofit specimen, subsidiaries are entities the named organization controls, an affiliate is insured only if listed by endorsement and only for the part named on the endorsement, and a nonprofit acquired mid-term with assets under 40% of the named organization's consolidated assets is a subsidiary if the named organization gives the insurer full particulars before the policy period ends. In a 2021 specimen of another carrier's package, a foundation or charitable trust controlled by the parent organization is a subsidiary, while in the nonprofit D&O part a for-profit entity or chapter is added only by endorsement. ## Which Management Liability Exposures Do Nonprofits Face?

One event can touch several parts, and the form decides which pays. In the 2009 specimen, each part's terms apply only to that part, notice must name the part under which a claim is noticed, and the employment part is primary while the other parts are excess of other insurance. In a private-company package form, a loss covered by two or more liability parts is paid once, employment loss first, capped at the single greatest remaining limit of any applicable part, and the insurer may decide which part pays whichever part was noticed. A shared limit can be used up by another part's claim. In the 2009 specimen, a part's limit is either shared with parts designated in the declarations or separate, both inside a policy aggregate, and defense costs count toward the limits. In the 2021 specimen, a part designated as shared reduces and may exhaust the limit of every other shared part, while the crime, kidnap-ransom-extortion and workplace violence parts carry limits set in their own portions of the declarations. Retentions combine differently from form to form. The 2009 specimen applies each part's retention separately, and where parts share a limit it deems the highest applicable retention to apply to the claim. The 2021 specimen and the private-company form apply retentions separately to each liability part but cap the sum at the largest one. ## What Should Nonprofits Check Before Buying Management Liability Insurance?

Ask who signs the application and whose knowledge counts. In the 2009 specimen one application underlies every part, and if it was inaccurate in a way that materially affects the risk, the policy is void ab initio as to an insured who knew of the facts at inception, with that knowledge not imputed to others. In the 2021 specimen each insured makes a separate request for coverage, only the actual knowledge of the control group, which in the nonprofit D&O part includes the executive director, is imputed to the organization, and, for its liability parts, the insurer may not void or rescind the policy as to any insured, though it denies coverage for matters based on a misrepresentation made with intent to deceive or that materially affects the risk, if the insured person knew of it or, for the organization, a control-group member did. The private-company form also bars rescission and adds the person who signed the application to the test for its crime part. Get the draft declarations, not just the brochure. In both specimens the choice between shared and separate limits is made on the declarations, which the 2021 specimen leaves blank and the 2009 file does not include. Read which parts share, the policy aggregate, each part's retention and whether defense costs reduce the limits. ### Can One Application Mistake Void a Management Liability Policy for Nonprofits?

It depends on the form. The 2009 specimen voids the policy as to an insured who knew of facts not accurately disclosed in a way that materially affects the risk, without imputing that knowledge to others; for its liability parts the 2021 specimen bars voiding or rescinding as to any insured and imputes only the control group's knowledge to the organization, but it still denies coverage for matters based on a misrepresentation made with intent to deceive or that materially affects the risk, if the insured person knew of it or, for the organization, a control-group member did.
